Terms and Conditions

The following conditions form a part of this quotation:

1. PRICES : Prices quoted were based on samples and cycle times submitted by customer. Piece part quote is subject to change pending actual weights, cycles and efficiencies. Prices quoted are for the quantity on the Purchase Order or Request for Quote. Any reduction in these amounts will result in an increase of the price for all product produced and possibly shipped. Prices quoted are firm for 30 calendar days from date on quote.

2. CANCELLATIONS : Customer is responsible for all charges for set up, trouble shooting, special ancillary equipment procured for the job, tooling, labor, material, handling, and any other costs incurred by Shutters, inc. due to the cancellation of this order prior to completion of the quantities specified. Tooling will be held until all issues are resolved and payment is received by Shutters, inc. for all open invoices.

3. DELIVERIES : FOB Hebron, IL. Perfect Shutters, inc. will do its utmost to complete and deliver orders in compliance with an agreed upon time schedule. However, Perfect Shutters, inc. shall not be held responsible or liable for late deliveries due to strikes, accidents, equipment failures, acts of God, and/or any conditions that are beyond the ability of Perfect Shutters, inc. to control and/or remedy.

4. CHANGES : 1. Changes in design or dimension of piece parts or samples submitted upon which quotations have been rendered cannot be accepted without a new quotation being submitted. Any loss or increased cost resulting from this change in design or specification, such changes will be made at customers expense. If the mold is already set, a separate charge for the removal, set up and tool try out will be made.

The molding press will not be held for the return of the mold unless the customer is willing to accept a press idle time charge as negotiated.

Changes: 2. Any changes in schedules that cause added expense on Perfect Shutters, inc. which includes but is not limited to color changes, delivery changes, insert changes etc. will be the responsibility of the customer. If any of these cause the storage of material, the customer will pay for warehousing and handling costs.

5. TOOLING : Tooling shall remain property of Perfect Shutters, inc. until paid for in full.

6. MAINTENANCE : Normal maintenance is the responsibility of Perfect Shutters, inc. while the tool is in our possession. Any additional work requiring an outside tool shop is the responsibility of the customer. Perfect Shutters, inc. is to notify the customer, and the customer is to contact the shop of their choice to complete the maintenance. Delivery to and from the shop is the total responsibility of the customer.

7. WARRANTIES : Perfect Shutters, inc. makes no warranty, expressed or implied, concerning the goods furnished hereunder other than that they shall meet the customer's current product specifications. The liability of Perfect Shutters, inc., in respect to goods furnished hereunder, shall be limited to the purchase price of the goods.

8. LIABILITIES: Perfect Shutters, inc., is not liable for any damage to equipment or tooling supplied by the customer that may occur during the normal operation of the job. This includes but is not limited to stuck parts closing in the mold damaging it, attempts to remove plastic material stuck in mold, any other damage not caused by gross negligence on the part of Perfect Shutters or its employees.

9. WAREHOUSING: Unless otherwise specified, warehousing of parts is not considered to be part of this contract. All parts are to be made per purchase orders and/or releases. All product will be shipped as produced in an economical quantity.
